Author Publishing Agreement
This is the example agreement RUI Press sends to authors before signing. RUI Press is a department of RU Institute, a d/b/a of T M STAFFORD LLC, 24106 State Road 46, Sorrento, FL 32776-0501. 1. Services and setup fees
RUI Press provides book setup services for the Work titled in the agreement. The Author pays a one-time Setup Fee of $600.00, which covers:
- Setup for digital distribution on Kindle and PDF formats.
- Setup for physical distribution in paperback format.
- ISBN registration and barcode coordination.
Exclusion
Hardback book publishing is explicitly excluded from this setup fee and from the agreement.
2. Intellectual property rights
Notwithstanding any other provision in this agreement, the Author retains all rights, titles, and interests in and to the intellectual property of the Work. This includes all copyrights and future derivative works.
3. Printing and author purchases
Retail website prices for the Work are determined at a rate of 2x–3x the wholesale cost based on market research. The Author may purchase copies of their Work directly through RUI Press at 15% over the wholesale printing price. These purchases must be paid for upfront, and no royalty is owed to RUI Press from the Author once these books are purchased. The Author may resell any copies they purchase at any price of their choosing.
4. Returns and errors
RUI Press will attempt to have damaged paperback books replaced by the printer on behalf of the Author. Electronic books cannot be returned. RUI Press does not offer editing services and holds no responsibility for the presence of any interior errors (such as typos, stray marks, or orphan headings) in the final product.
5. Sales and royalties
Books may be offered for sale through the RUI Press website. For all sales generated through the RUI Press platform:
- Author royalty: 80% of the gross sale price.
- Administrative fee: 20% retained by RUI Press.
6. Payouts and taxes
Payouts to the Author will be made quarterly through an electronic third-party service. All authors are considered 1099 independent contractors and are solely responsible for all taxes associated with these payouts.
7. Marketing services
The Author acknowledges and agrees that RUI Press does not offer marketing, promotional, or publicity services. The Author is solely responsible for all marketing efforts related to the Work.
8. Term and termination
This agreement may be terminated by either party upon 10 business days written notice to the other party. Upon termination, RUI Press will cease sales of the Work via its website within the notice period.
9. Relationship of parties
It is understood by the parties that RUI Press is an independent contractor with respect to the Author, and not an employee. The Author will not provide fringe benefits, including health insurance or paid vacation, for the benefit of RUI Press or its staff.
10. Confidentiality
RUI Press will not at any time or in any manner, either directly or indirectly, use for personal benefit, or divulge, disclose, or communicate any proprietary information belonging to the Author. This provision shall continue to be effective after the termination of this Agreement.
11. Severability
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision is invalid but that by limiting such provision it would become valid, then such provision shall be deemed to be written and enforced as so limited.
12. Applicable law
This Agreement shall be governed by the laws of the State of Florida.
Signatures
The agreement is executed by an authorized representative of RUI Press (printed name, position, signature, date) and by the Author (printed name, signature, date).
